Acceptance and scope
These Terms of Service form an agreement between you and RockPaperBid for the use of Rock, Paper, Bid and related features, including proposal creation tools, hosted proposal pages, payment and deposit workflows, reminder features, reporting, integrations, and support content. By accessing or using the service, you agree to these Terms and our Privacy Policy.
If you are using the service on behalf of a company, contractor, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both the individual user and the organization you represent.
We may update these Terms from time to time. If we make material changes, we may post an updated version on this page, update the effective date, or provide account notice through the service or by email. Continued use after the updated Terms become effective means you accept the revised Terms.
Eligibility and accounts
Rock, Paper, Bid is intended for business and professional use by contractors, small businesses, office staff, and authorized representatives. You must be able to form a binding contract and use the service in compliance with applicable law. If you create an account, you agree to provide accurate registration information and keep it current.
You are responsible for activity that occurs under your account, for maintaining the confidentiality of your password and access credentials, and for promptly notifying us if you suspect unauthorized access. We may refuse, limit, or disable registrations that present fraud, security, compliance, or platform-integrity risk.
Subscriptions, fees, and payments
Some features of Rock, Paper, Bid may be offered on a paid subscription or usage-based basis. Pricing, plan limits, and feature availability may be described inside the application, in an order form, or on a pricing page. Unless a different billing cadence is stated, recurring plans renew automatically until canceled.
You authorize us and our payment service providers to charge the payment method you provide for applicable subscription fees, taxes, payment-processing fees, chargebacks, reversals, or other amounts you agree to pay through the service. Except where required by law or expressly stated otherwise, fees are non-refundable.
Rock, Paper, Bid may let you connect payment processing or financing features offered by third parties. Those services are governed by the third party's own terms, underwriting rules, privacy notices, and fee schedules. You are responsible for deciding whether those services are appropriate for your business and for complying with any rules that apply to your transactions, notices, and customer authorizations.
If you connect contractor payment features, you authorize us to create, update, and support connected payment accounts on your behalf with the payment provider as needed to operate deposits, balance requests, payouts, onboarding, account status checks, dispute handling, and related support workflows. You are responsible for the accuracy of your business details, payout details, tax details, notices, and customer transaction information.
You remain responsible for your customer transactions, refunds, disputes, chargebacks, failed payments, restricted-business issues, and compliance obligations that apply to your business. We may limit, pause, or remove payment features if the payment provider, card networks, legal requirements, or our own risk review require it.
Customer data and content
You retain your rights in the information, files, templates, pricing, proposal content, customer contact details, notes, and other material that you submit to the service. You grant us a limited right to host, store, process, transmit, display, and use that content as needed to provide, secure, support, and improve the service, and to comply with law.
You are responsible for ensuring that you have the rights, notices, and permissions needed to upload or send content through Rock, Paper, Bid, including when you send proposals, hosted payment links, reminders, or messages to customers. Do not upload or transmit content that is unlawful, infringing, deceptive, or that you are not authorized to use.
Unless we expressly agree otherwise in writing, do not use the service to store information that is subject to specialized regulatory requirements that the platform is not designed to support, including regulated health records, cardholder data you are not permitted to handle, or any other category of data that would require controls beyond the service's stated feature set.
Communications
You agree that we may send you transactional or service-related communications about your account, security events, billing, customer workflow activity, platform updates, and support matters by email, in-product notice, or other reasonable means. These communications are part of operating the service.
If you use Rock, Paper, Bid to send customer-facing emails, notifications, hosted links, or reminders, you are responsible for the lawfulness, timing, recipient permissions, and content of those communications. Separate marketing, advertising, or SMS consent requirements may apply to your business depending on how you use the platform.
Acceptable use
You may not use Rock, Paper, Bid to:
- violate law, third-party rights, card-network rules, or contractual restrictions that apply to your business;
- reverse engineer, copy, scrape, benchmark, or build a competing service from the platform except to the extent such restriction is prohibited by law;
- upload malware, interfere with the operation or security of the service, or attempt unauthorized access to any account, network, or data;
- send misleading proposals, impersonate another person or business, or misrepresent payment status, project scope, or authority;
- use the service to send spam, abusive reminders, harassing messages, or communications to recipients who should not receive them; or
- use the service in a way that could create material risk for us, our vendors, or other users.
We may investigate misuse and take action we reasonably believe is necessary to protect the platform, including limiting features, suspending sending privileges, or terminating access.
Third-party services
The service may interoperate with third-party products and infrastructure such as payment processors, email providers, SMS providers, analytics tools, financing partners, storage providers, or embedded content providers. We do not control those third-party services and are not responsible for their acts, omissions, availability, or changes.
If you enable an integration or use a third-party feature through Rock, Paper, Bid, you authorize us to exchange the data reasonably required to operate that connection. Your use of those services may also be subject to separate third-party terms and privacy notices.
For payment features, this may include sharing account, business, identity, tax, payout, transaction, customer, dispute, fraud, and compliance-related information with the payment provider so the provider can onboard accounts, process payments, support payouts, prevent fraud, review risk, and meet legal or network requirements.
Intellectual property
The service, including its software, interface design, branding, and underlying technology, is owned by RockPaperBid or its licensors and is protected by applicable intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the service during the term of your access, subject to your compliance with these Terms.
If you send us suggestions, feedback, or improvement ideas, you allow us to use them without restriction or obligation to you, provided that doing so does not disclose your confidential information beyond what is reasonably necessary to evaluate the feedback.
Suspension and termination
You may stop using the service at any time. We may suspend, limit, or terminate your access immediately if you materially breach these Terms, fail to pay amounts due, create security or fraud risk, or use the service in a way that may cause legal or operational harm. We may also modify or discontinue features from time to time.
We may also suspend or limit payment-related features if your connected payment account is not fully onboarded, if required information is missing, if payouts or charges are paused by the payment provider, or if transactions create fraud, dispute, compliance, or financial risk.
Following termination or account closure, we may retain or delete account data in accordance with our normal retention practices, backup cycles, legal obligations, and dispute-resolution needs. Provisions that by their nature should survive termination, including payment obligations, ownership terms, disclaimers, liability limits, and indemnification, will survive.
Disclaimers and limits
Rock, Paper, Bid is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted service, error-free operation, specific business outcomes, successful payment acceptance, financing approvals, or that the platform will be suitable for every workflow or regulatory environment.
We do not act as a bank, money transmitter, merchant of record, debt collector, or insurer for your business unless a separate written agreement expressly says otherwise. Payment processing, payout timing, dispute handling, reserves, risk review, and account approval decisions may be made by the payment provider under its own rules and policies.
To the fullest extent permitted by law, RockPaperBid and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption arising from or related to the service.
To the fullest extent permitted by law, our aggregate liability for claims arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid us for the applicable service in the twelve months before the event giving rise to the claim or one hundred U.S. dollars ($100).
You agree to defend, indemnify, and hold harmless RockPaperBid and its affiliates from claims, losses, liabilities, and expenses arising out of your content, your use of the service, your communications with customers, or your violation of these Terms or applicable law.
General terms
If you have a separate written agreement with us, that agreement controls to the extent of a conflict with these Terms. If any part of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of that provision.
You may not assign these Terms or your access rights without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or by operation of law. These Terms constitute the entire agreement between you and us regarding the service unless a separate written agreement says otherwise.
